address terms

1.1 These terms govern the registered office address service of Fiduciaire Mégevand (sole proprietorship), Rue de la Poterie 14, 1202 Geneva, trading as Klear Conseils. They supplement our general terms and conditions and prevail over them for this service.

1.2 The domiciliation contract is concluded in the name of the Client's company, with a domiciliation provider. Klear subscribes it for the Client under a power of attorney and remains the Client's single point of contact.

1.3 Klear keeps the domiciliation contract and the provider's invoices, and accounts for its management at the Client's request (art. 400 para. 1 CO).

2.1 A registered office address in the city chosen by the Client, among 24 Swiss cities, usable as the company's domicile in the commercial register (art. 117 para. 2 ORC). No c/o arrangement is offered.

2.2 Mail is scanned on the day it is received and sent by e-mail, with no volume limit. Registered mail is received and signed for on behalf of the company.

2.3 Scans remain available in the client portal for the whole duration of the mandate.

2.4 An item handled as sensitive mail is never sent in clear: the Client is told it has arrived, then receives a code and a link to an encrypted message valid for 28 days. Its content does not appear in the client portal and is neither opened nor kept by Klear.

2.5 Where a company only has a domiciliation address, the application to the commercial register must include a declaration from the domiciliation provider (art. 117 para. 3 ORC). Klear obtains it and adds it to the file.

3.1 Parcels and deliveries carried by private couriers (DHL, UPS, FedEx, DPD) are not accepted at the registered office address. The Client gives suppliers another delivery address.

3.2 Items that cannot be scanned because of their format (bank cards, SIM cards, laminated documents, original forms) are forwarded by post, free of charge, to the private address of the contact person given at the time of the order.

3.3 Originals are kept for seven days after receipt, then securely destroyed. Forwarding an original requested within that period is recharged at cost: postage plus 5 CHF, payable before dispatch.

3.4 The address is reserved for the Client's company and the mail concerning it. Forwarding a third party's mail to that address, whether an individual or a company, is prohibited.

4.1 85 CHF per month billed yearly, i.e. 1'020 CHF per year, or 99 CHF per month billed quarterly, i.e. 297 CHF per quarter. Klear is not registered for VAT.

4.2 The invoice shows two lines: the domiciliation provider's fees, recharged at cost and without any mark-up, and the Klear service (client portal and mail handling).

4.3 The first period is payable before the address is subscribed: the address is subscribed as soon as payment is received. Later periods are invoiced in advance, about 30 days before the due date, payable within 30 days.

4.4 If the provider's fees change, the corresponding line follows its tariff and the Client is informed before the next due date.

5.1 The first period equals the chosen billing period. There is no minimum duration. Absent termination, the service renews tacitly for a period of the same length.

5.2 Either party may terminate at any time, without giving reasons, by e-mail to contact@klearconseils.ch.

5.3 Where the company is entered in the commercial register, termination only takes effect once the change of address, or the deletion, has been published in the Swiss Official Gazette of Commerce: a registered company must have a domicile at its seat.

5.4 The unused part of the invoiced period is refunded pro rata. The 80 CHF postal sub-address fee remains payable by the Client where termination occurs before the end of the first twelve-month period.

6.1 If payment is not made when due, the service is suspended: mail received is no longer forwarded or made available until the amounts due are settled.

6.2 If the situation is not resolved within thirty days of the suspension, Klear may terminate the service under article 5.

Changing the city of the registered office or the billing rhythm requires a new subscription. The 80 CHF postal sub-address fee is payable where the change occurs before the end of the current yearly period.

8.1 Klear's liability under this service is limited to the amounts actually paid by the Client for the current contractual period.

8.2 Klear is not liable for delays, losses or damage attributable to postal services or carriers, nor for the destruction of an original whose forwarding was not requested within the period set in article 3.3.

The contact person's private address is used solely to forward items that cannot be scanned. It is never entered in the commercial register nor printed on a commercial document. Otherwise, the privacy policy applies.

These terms are governed exclusively by Swiss law. The exclusive place of jurisdiction is Geneva.
